11.2

In addition to all the powers, authorities and discretions vested in the Trustees by law or by this deed, the Trustees in giving effect to the Objects in their absolute discretion, may at all times and from time to time and in such manner and by such means as they think fit, exercise the fullest possible powers and authorities as if they were the beneficial owners of the Trust Fund.

11.3

Without prejudice to the general powers set forth in clauses 11.1 and 11.2, the Trustees shall have the power to:

(a)

Appoint and remove at the pleasure of the Trustees, the Trust's officers, agents, and employees; prescribe powers and duties for them that are consistent with law, and with this deed; and fix their compensation and require from them security for faithful performance of their duties;

(b)

Borrow money and incur indebtedness on behalf of the Trust and cause to be executed and delivered for the Trust's purposes, in the Trust's name, promissory notes, bonds, debentures, deeds of trust, mortgages, pledges, hypothecations, and other evidence of debt and securities;

(c)

Purchase, acquire and obtain, and to sell, exchange, partition or dispose of any property or any part thereof or any interest therein;

(d)

Convert property in the ownership of the Trust to publicly owned land by the transfer of title to the Crown or any local authority;

(e)

Manage property in the ownership of the Trust in any manner the Trust may determine to provide income to the Trust; protect natural, historic or cultural resources; use resources in a sustainable manner; conserve native habitat; reduce the loss of biological diversity; maintain open space: provide for public recreation; provide access to any public amenity; or to restrict public access to a natural resource or native habitat;

(f)

Enter into any agreement with any agency of the government, institution, organisation or person to manage real property for the purpose of land conservation, or native habitat restoration or preservation;

(g)

Enter into any covenant with any institution, organisation or person to impose conditions for the use of real property in the ownership of that institution, organisation or person;

(h)

To lease property owned by the Trust to, or to lease property from, any institution, organisation or person;

(i)

Promote and publicise the activities and purpose of the Trust as a charitable organisation, and receive cooperation, assistance, financial support, gifts of property, and encouragement from any institution, organisation or person;

(j)

Solicit bequests, gifts, grants, devises, legacies, and donations of any kind from any institution, organisation and person;

(k)

Invest the Trust Fund in any authorised manner for the purpose of improving the assets or the disposable income of the Trust;
