1.1

(l)

Security means shares, stocks, debentures, debenture stock, bonds, notes, options, and all other securities;

(m)

Settlor means the first party to the original deed;

(n)

Terra Nature Fund means Terra Nature Fund, a California nonprofit public benefit corporation, incorporated with the Secretary of State (corporate number C2079593) of the State of California, United States of America;

(o)

Trust means the trust created by the original deed as amended by this deed;

(p)

Trust Fund means the property that is from time to time held by the Trustees on the trusts of this deed and the income that is from time to time held by the Trustees on the trusts of this deed;

(q)

Trustees means the trustees for the time being of the Trust (including the Original Trustees);

DIRECTION AND ACKNOWLEDGMENT OF THE TRUST

2.1

The Settlor directs and the Trustees acknowledge that the Trustees will hold the Trust Fund upon the trusts and with the powers set out in this deed.

NAME OF THE TRUST

3.1

The Trust presently known as The Terra Nature Trust by the original deed, will henceforth be known as TerraNature Trust but the Trustees may amend or change the name by deed and may refer to the Trust as TerraNature.

OFFICES OF THE TRUST

4.1

The principal office for the transaction of the activities and affairs of the Trust is located at 8 Railway Street, Newmarket, Auckland.  The Trustees may change the principal office from one location to another.

4.2

A branch office for the transaction of the activities and affairs of the Trust is located at 1644 Clay Street, Suite 1, San Francisco, California 94109, United States of America.  The Trustees may at any time establish a branch office or subordinate offices at any place where the Trust conducts its activities, and may change the location of branch offices.

OBJECTS OF THE TRUST

5.1

The Trust Fund must be applied and used exclusively by the Trustees for such of the following objects (the Objects) within New Zealand as the Trustees from time to time decide upon in their absolute discretion;

Objects that are charitable according to the law of New Zealand including purposes beneficial to the community that are charitable under section 61A of the Charitable Trusts Act 1957 and without limiting the generality thereof, specifically for:

(a)

scientific and educational activities promoting a greater public understanding and appreciation of terrestrial and marine ecology, the conservation of biological diversity, and sustainable ecosystem management;
