21.7

President:  Subject to such supervisory powers as the Trustees may give to the Chair of the Trustees, and subject to the control of the Trustees, the president shall be the general manager of the Trust and shall supervise, direct, and control the Trust's activities, affairs, and officers.  The president shall preside at meetings of the Trustees if the Chair of the Trustees is absent, or if there is none.  The president shall give or cause to be given, notice of all meetings of the Trustees and of committees of the Trust required by this deed to be given.  The president shall have such other powers and duties as the Trustees or this deed may prescribe.

21.8

Vice Presidents:  If the president is absent or disabled, the vice presidents, if any, in order of their ranks as fixed by the Trustees, or, if not ranked, a vice president designated by the Trustees shall perform all duties of the president.   When so acting, a vice president shall have all powers and be subject to all restrictions on the president.  The vice presidents shall have such other powers and perform such other duties as the Trustees or this deed may prescribe.

21.9

Secretary:  The secretary shall keep or cause to be kept, at the Trust's principal office, a book of minutes of all meetings, proceedings, and actions of the Trustees, or committees of the Trust.  The minutes of meetings shall include the time and place that the meeting was held, whether the meeting was annual, regular, or special, and if special, how authorized, the notice given, and the names of those present at Trustee and committee meetings.   The secretary shall keep or cause to be kept the Trust seal in safe custody, and shall have such other powers and perform such other duties as the Trustees or this deed may prescribe.

21.10

Treasurer:  The treasurer shall keep and maintain, or cause to be kept and maintained, adequate and correct books and accounts of the Trust's properties and transactions.  The treasurer shall send or cause to be given to the Trustees such financial statements and reports as are required to be given by law, by this deed, or by the Trustees.  The books of account shall be open to inspection by any Trustee at all reasonable times.  The treasurer shall deposit, or cause to be deposited, all money and other valuables in the name and to the credit of the Trust with such depositories as the Trustees may designate, shall disburse the Trust's funds as the Trustees may order, shall render to the president, Chair of the Trustees, and the Trustees, when requested, an account of all transactions as treasurer and of the financial condition of the Trust.

EXECUTION OF DOCUMENTS

22.1

Whenever there is more than one Trustee and the Trustees in the exercise of any power, authority or discretion conferred upon them need to sign or attest any deed it will be sufficient:

(a)

if the Trustees are not incorporated as a board under the Charitable Trusts Act 1957, for that deed to be signed or attested by any two of the Trustees;

(b)

if the Trustees are incorporated as a board under the Charitable Trusts Act 1957, for that deed to be executed under the common seal of the board attested by any two of the Trustees who are incorporated as the board.
