HONORARY TRUSTEES

17.1

The Trustees, by resolution adopted at a meeting of the Trustees at which a quorum is present, by a majority vote of the Trustees then in office, may appoint any person as an Honorary Trustee, who may be any person who is not a Trustee, who may make recommendations to the Trustees which shall be advisory only, and who shall have no power otherwise to act for or on behalf of the Trustees.

17.2

Honorary Trustees shall be selected and appointed with respect to exceptional professional knowledge and experience related to the purpose of the Trust, or prominent activities within the environmental movement, or distinctive community service related to the management and funding of charitable organisations.

17.3

The Trustees shall seek constructive input from any Honorary Trustee at any time, to assist in establishing policies and creating programmes consistent with the perceived needs and desires of the intended beneficiaries of the Trust's activities.

17.4

There shall be no limit to the number of Honorary Trustees, except that the Trustees may at any time set the number of Honorary Trustees.

17.5

There shall be no limit to the term for which an Honorary Trustee is appointed, except that the Trustees may at a meeting of the Trustees at which a quorum is present, by a majority vote of the Trustees then in office, remove an Honorary Trustee from office.

17.6

Any Honorary Trustee may resign by giving written notice to the Chair of the Trustees.  The resignation shall be effective when the notice is given unless it specifies a later time for the resignation to become effective.

ADVISORY COUNCIL

18.1

The Trustees, by resolution adopted at a meeting of the Trustees at which a quorum is present, by a majority vote of all the Trustees then in office, may form an Advisory Council, and accordingly, may appoint any person who is not a Trustee as a member of the Advisory Council, who may make recommendations to the Trustees which shall be advisory only and who shall have no power otherwise to act for or on behalf of the Trustees.

18.2

Members of the Advisory Council shall be selected and appointed with respect to exceptional professional knowledge and experience related to the purpose of the Trust, or prominent activities within the environmental movement, or distinctive community service related to the management and funding of charitable organisations.

18.3

The Trustees shall seek constructive input from any member of the Advisory Council at any time, to assist in establishing policies and creating programmes consistent with the perceived needs and desires of the intended beneficiaries of the Trust's activities.

18.4

There shall be no limit to the number of members of the Advisory Council appointed by the Trustees, except that the Trustees may at any time set the number of members of the Advisory Council.
